Terms of Service

1. Acceptance of Terms

By accessing or using the Precise platform and website at precise.ai (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Precise provides a media economics platform that gives marketers real-time clarity across the media supply chain. The Service includes contribution measurement, supply path optimization, and policy-governed automation for media decisioning.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Precise reserves the right to suspend or terminate accounts that violate these Terms.

4. Client Data

You retain all rights to the data you provide to Precise (“Client Data”). By using the Service, you grant Precise a limited license to process Client Data solely to provide and improve the Service. We will:

• Process Client Data only as necessary to deliver the Service
• Not sell, share, or use Client Data for purposes unrelated to the Service
• Maintain appropriate security measures to protect Client Data
• Delete or return Client Data upon contract termination, at your request

5. Intellectual Property

The Service, including its design, features, algorithms, and documentation, is the property of Precise Operations Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right to use Precise's trademarks, logos, or branding without prior written consent.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Resell, sublicense, or provide the Service to third parties without authorization

7. Confidentiality

Each party agrees to hold the other party's confidential information in strict confidence. Confidential information includes, but is not limited to, Client Data, business strategies, pricing, technical specifications, and any non-public information disclosed under these Terms.

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PRECISE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PRECISE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. PRECISE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PRECISE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Precise and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

11. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate the agreement with thirty (30) days' written notice. Precise may suspend or terminate access immediately if you violate these Terms. Upon termination, your right to use the Service ceases and we will handle Client Data in accordance with our Data Governance policy.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via the email address associated with your account or by posting a notice on the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
